These Terms and Conditions ("Agreement") govern the relationship between CW Audio Labs ("Agency," "We," or "Us") and the Artist ("You" or "Your"). By submitting music through our pipeline, you agree to the following:
1. THE PIPELINE & INFRASTRUCTURE
CW Audio Labs provides an enterprise-grade distribution and management infrastructure. We utilize Too Lost as our primary distribution engine.
Global Reach: Your music is delivered to 480+ digital service providers (DSPs), including Spotify, Apple Music, Tidal, and Amazon Music.
Metadata Sovereignty: We manage all ISRC and UPC coding to ensure stream counts and playlist placements remain intact during catalog migrations or new releases.
2. OWNERSHIP & RIGHTS
100% Master Ownership: You retain full ownership of your Master Recordings. CW Audio Labs does not own your music; we manage its global distribution and optimization.
Exclusive Management: During the term of this agreement, CW Audio Labs shall be the exclusive manager of the digital distribution pipeline for the submitted assets.
3. SERVICE TIERS & REVENUE STRUCTURE
The financial structure depends on your selected plan. All plans include "Sonic Audit" services and high-fidelity (.WAV) intake.

4. ROYALTY PAYMENTS & TRANSPARENCY
Automated Accounting: Royalties are calculated and distributed via the CW Audio Labs / Too Lost Accounting Suite.
Net Receipts: Royalties are paid based on "Net Receipts" (money actually received from DSPs).
Payout Methods: Artists may withdraw their share via PayPal, Stripe, ACH, or Venmo once the minimum threshold ($10.00) is met.
5. PUBLISHING ADMINISTRATION
For the Lab Partner plan and cases where publishing is managed by us:
We utilize Too Lost / BMG to collect global mechanical and performance royalties.
A 15% commission is retained by the publishing administrator for these services, which is included in the "Lab Partner" 20% total management fee.
6. SONIC FIDELITY & AUDIT
CW Audio Labs reserves the right to delay or reject a release if the audio quality does not meet our "Radio Ready" standards.
Founding 10 Benefit: Artists in the Founding 10 cohort receive priority A&R oversight and sonic auditing to ensure peak performance in the global market.
7. TERM & TERMINATION
At-Will Partnership: Unless otherwise specified in a custom contract, this is an at-will agreement.
Takedowns: You may request a removal of your music from the pipeline at any time. Takedowns typically take 2–7 business days to reflect across all 480+ stores.
Migration Security: If you leave the agency, we will provide you with a full metadata export (ISRCs/UPCs) to ensure you do not lose your stream counts.
8. LIMITATION OF LIABILITY
CW Audio Labs is a management and infrastructure provider. While we utilize the highest-tier distribution engines, we are not liable for outages, glitches, or editorial decisions made by third-party DSPs (e.g., Spotify playlist removals).
9. ACCEPTANCE OF TERMS
By clicking "Submit" on any CW Audio Labs intake form or accepting an invite to the Too Lost Dashboard, you legally bind yourself to these terms.
